<figure class="op-interactive"><iframe height="315" src="https://www.youtube.com/embed/xL55Epgn-h4?enablejsapi=1" width="560"></iframe></figure><div class="iwantbar">Watch more in <a href="//www.iwantv.com.ph/">iWantv</a> or <a href="//tfc.tv/">TFC.tv</a></div><p>May mahigit 2 linggo ang Rappler para i-apela sa korte ang desisyon ng Securities and Exchange Commission (SEC) na ipasara ang kumpanya dahil sa umano&#x27;y paglabag sa &quot;foreign equity restriction&quot; na nakasaad sa Saligang Batas.</p><ul class="op-related-articles">	<li><a href="http://news.abs-cbn.com/news/01/15/18/rapplers-incorporation-papers-revoked-by-sec">Rappler&#x27;s incorporation papers revoked by SEC</a></li></ul><p>Pero ano nga ba ang nilabag ng Rappler gayong sinasabi nilang sila ay 100% pagmamay-ari ng mga Pilipino?</p><p>Sa paliwanag ng SEC, pinuntirya nila ang Philippine Depository Receipt (PDR) na inisyu ng Rappler sa banyagang investor na Omidyar Network.</p><div><strong>Ano ang PDR?</strong></div><p>Ang PDR ay isang paraan para sa isang negosyante, banyaga man o Pinoy, na mamuhunan sa isang kumpanya kahit wala itong bahagi sa pagpapatakbo nito.</p><p>&quot;If I&#x27;m an investor, I believe in the company, but I don&#x27;t want to sit on the board or be a stockholder yet I can put in money, and issue PDR,&quot; paliwanag ng corporate lawyer na si Jan Adan ng Feria Tantoco Daos Law Offices.</p><p>Depende sa usapan, pero karaniwang dibidendo o parte ng kita ng kumpanya ang kapalit ng PDR.</p><p>Hindi na bago ang PDR at itinuturing itong lehitimong anyo ng investment na ginagamit ng malalaking kumpanya gaya ng PLDT, Globe, Ayala Corp., at maging ng ABS-CBN. </p><div><strong>Isang probisyon</strong></div><p>Pero paliwanag ng SEC, wala namang isyu sa PDR, bagkus, ang isyu ay ang probisyon sa PDR ng Omidyar.</p><p>Ayon sa SEC, binigyan ng Rappler ang Omidyar ng boses sa mga desisyon na may kinalaman sa set-up ng kumpanya, maging mga meeting.</p><p>&quot;Requiring PDR holders&#x27; consent to amendments of articles of incorporation . . . That&#x27;s tantamount to ownership or control . . . Hindi ka nga stockholder, pero meron ka namang ganitong karapatan,&quot; giit ng tagapagsalita ng SEC na si Attorney Armand Pan.</p><p>Ipinaliwanag pa ni Solicitor General Jose Calida, na siya umanong nagpa-imbestiga sa Rappler, na hindi lang ownership ang isyu kung hindi maging ang kontrol.    </p><p>&quot;[Constitution states that] 100% ownership and control. They forgot about the control. In their PDR, there was a clause there that [says] Rappler cannot do any amendment, cannot amend its bylaws or other corporate acts unless there is a [2/3] vote of the [Omidyar]. There must be no [foreign] control, not even 1%. It should be zero percent,&quot; ani Calida. </p><div><strong>Forgive and forget?</strong></div><p>Para sa isang investment banker, puwede namang remedyohan ang nasabing PDR ng Rappler, imbes na ipasara pa ang kumpanya.</p><p>&quot;It&#x27;s really technicality. They can change the rules, refile the PDR, and they will be in compliance,&quot; ani Ed Francisco, dating co-chair ng Capital Markets Development Council.</p><p>Pero para sa SEC, hindi ganoon kasimple ang isyu na puwedeng &quot;forgive and forget&quot; na lang.</p><p>&quot;Iyong what happened before, ibang usapan.
