MANILA — The Supreme Court on Tuesday, February 11, upheld the Court of Appeals&#x27; decision declaring Marcelina Villanueva liable to pay for Cola-Cola products under their deal, as it cleared a mere agreement between the two parties complete a contract of sale of goods.In a decision written by Associate Justice Henri Jean Paul B. Inting, the high court&#x27;s 3rd Division ordered Villanueva to pay Coca-Cola Bottlers Phils., Inc. around P600,000 for the unpaid products included in their agreement. Villanueva was operating under the name Vedge Trading, a business SC notes she legally represents as a registered owner.The SC explained that an agreement between the two parties is a sufficient requirement to finalize a contract of sales of good, even without a written document.&quot;Under the Civil Code, a contract for the sale of goods is completed upon mutual agreement of the parties, even if not in writing. Exempt from this rule are contracts in Article 1403 or the Statute of Frauds, which requires certain agreements to be in writing to be enforceable, including sales of goods worth at least PHP 500. The beverage company cited a dealership agreement with Villanueva as representative of Vedge trading.However, the businesswoman denied knowing the deal and claimed that her nephews who handle the firm must be held liable instead.The RTC dismissed the case, saying Coca-Cola failed to present a written document and found that Vedge Trading was a partnership between Villanueva and her nephew Jonathan Erasga. The RTC noted that Coca-Cola should have sued the partnership instead.But in a turn of events, the Court of Appeals (CA) ruled in favor of Coca-Cola, saying the delivery invoices and statement of account are enough to prove the contract between Coca-Cola and Villanueva. The CA said Villanueva &quot;consistently represented herself as Vedge Trading owner&quot; hence she must pay the products involved in the contract.Putting a resolution to the case, the SC upheld CA&#x27;s decision. While it tells Villanueva to pay Coca-Cola to &quot;face the consequences of her own misrepresentation&quot;, the high court stressed she may claim from Erasga a &quot;reimbursement of his share in the debut&quot; as they have a partnership as well.
